When preparing to sign contracts with partners in Vietnam, many foreign businesses choose to use international contract templates because they are quick, familiar, and cost-effective. International contract templates can be a starting point, but they shouldn't be used verbatim. Businesses need to adapt key clauses such as payment terms, liability, dispute resolution, and applicable law to suit Vietnam.
An effective contract isn't one with numerous penalty clauses, but one that helps control the partner's behavior.
For example, splitting payments into installments or withholding a portion of the contract value can significantly reduce actual risk more effectively than simply stipulating high penalties.
The cost of reviewing a contract is often much lower than the cost of resolving disputes later. More importantly, reviewing helps businesses understand risks and develop control strategies from the outset.
A lawyer knowledgeable about the Vietnamese market not only revises contract wording but also helps businesses identify real-world risks such as payment ability, the partner's operating methods, and enforceability in case of disputes.
Foreign businesses can certainly use international contract templates in Vietnam. However, the effectiveness of the contract depends on whether it aligns with actual operations. If the contract does not accurately reflect how transactions take place, risks remain regardless of how comprehensive the content is.
